Terms of Service

1. Acceptance of Terms

By accessing and using CycleHub ("the Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.

2. Description of Service

CycleHub is a SaaS platform that enables cycling clubs to create and manage their own branded cycling community, including:

  • Route management and GPX file sharing
  • Ride organization and RSVP management
  • Membership management with tiered subscriptions
  • E-commerce shop for club merchandise
  • Integration with Strava for performance tracking

3. User Accounts

3.1 Account Types

CycleHub offers two types of accounts:

  • Club Admins: Users who create and manage cycling clubs
  • Club Members: Users who join and participate in club activities

3.2 Registration

You must provide accurate, current, and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.

4. Subscription Plans

4.1 Club Subscriptions

Club admins may subscribe to various subscription plans with different member limits and features:

  • Free Plan: Up to 1,000 members with full features
  • Paid Plans: Higher member limits and additional premium features

4.2 Member Subscriptions

Individual clubs may offer their own membership tiers with varying benefits, pricing, and access levels. These are managed independently by each club.

4.3 Billing and Payments

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless cancelled before the renewal date.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except as required by law.

5. User Conduct

You agree not to:

  • Upload or share content that is illegal, offensive, defamatory, or violates third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Platform or servers
  • Attempt to gain unauthorized access to any part of the Platform
  • Use the Platform for any commercial purpose without our prior written consent
  • Violate any applicable laws or regulations

6. Content and Intellectual Property

6.1 User Content

You retain all rights to content you upload (routes, photos, descriptions, etc.). By uploading content, you grant CycleHub a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content as necessary to provide the service.

6.2 Platform Intellectual Property

All Platform features, design, code, logos, and trademarks are owned by CycleHub and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our express written permission.

7. Third-Party Integrations

7.1 Strava Integration

If you connect your Strava account, you authorize us to access your Strava data in accordance with Strava's terms and our Privacy Policy. We are not responsible for Strava's services or any issues arising from the Strava integration.

7.2 Payment Processing

Payments are processed by Stripe. Your use of Stripe's services is subject to Stripe's terms and conditions.

8. Limitation of Liability

CYCLING IS AN INHERENTLY DANGEROUS ACTIVITY. You acknowledge that participating in cycling activities involves risk of injury or death. CycleHub is a software platform only and does not organize, supervise, or assume responsibility for any cycling activities.

To the maximum extent permitted by law, CycleHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from:

  • Your use or inability to use the Platform
  • Any injuries or accidents occurring during cycling activities
  • Any errors, inaccuracies, or omissions in route data or GPX files
  • Unauthorized access to your account or data
  • Any other matter relating to the Platform

9. Indemnification

You agree to indemnify and hold harmless CycleHub, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or share

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our sole discretion.

Upon termination, your right to use the Platform will immediately cease. We may delete your account and content, though some data may be retained as required by law or for legitimate business purposes.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
